How does managment fire their CEO due to her gross incompettency?

The CEO of our medium size company is grossly incompetent. Not out of my personal frustration, however it has become transparrent to most of the staff as well as managers that she simply does not know how to perform her duties and ignores responsibility. So how do we all combine into an effective force and inform the board of directors that our CEO needs to go without risking termination?
